Brewers Become Tadcaster Albion 2010 Ltd.

Tadcaster Albion fans are being urged to become members of the club after it became a company limited by guarantee.
The move, which has been ratified by the KoolSport NCEL and the Football Association, means that significant investors can now enjoy efficient control of the club and limits the liability of members for the club's debts.
A notice has been released by the Premier Division outfit which says the following:
? Further to the motion carried at last summer's AGM the club has changed from an unincorporated member's club to a company limited by guarantee, Tadcaster Albion 2010 Limited.
? The intervening period has been spent dealing with the many legal and regulatory issues arising, not least the scrutiny and approval of the FA and the Northern Counties East League.
? The reason for the change in structure was two fold:
1. To provide a structure whereby significant investors could enjoy efficient control of the club; and
2. To limit the liability of members for the clubs debts (which was previously unlimited).
? Rob Northfield and James Hamilton are the statutory directors of Tadcaster Albion 2010 Limited.
? Tadcaster Albion 2010 Limited has 2 classes of members (shareholders):
1. 'A' members are those who provide significant funding, and therefore have voting control.
The only current 'A' member is Rob Northfield; and
2. 'B' members are not required to invest, but cannot outvote 'A' members on company resolutions. The only current 'B' member is James Hamilton.
? We need new 'B' members. If, at some point in the future, there are no significant investor 'A' members, control of the club will revert to 'B' members.
? Tadcaster Albion 2010 Limited, as a company limited by guarantee, cannot pay a dividend to any members. It holds the registrations to operate in the national league structure and enter FA competitions; however it does not own the ground, which is remaining in trust for the benefit of football in Tadcaster. As such, none of the current members have expectation of financial gain.
? New 'B' members should not expect financial gain either. They can expect to be valued members of a progressive, ambitious, community focussed football club.
? All existing members of the 'President's Club' are eligible to become 'B' members of the company.
They should contact James Hamilton on 07837 704753. Member's liability for the debts of the club is limited to ?1.
? Anyone else wishing to become a 'B' member can do so by joining the President's Club. This requires a payment of ?10 per month, which secures free admission to first team league games and entry into a monthly cash draw. Members are entitled to attend and vote at the AGM.
? All fans are encouraged to become 'B' members. The financial contribution will assist greatly in the continuing ground improvements and help secure further promotions and silverware. Widespread participation will demonstrate a commitment to a thriving semi-professional football team in Tadcaster. Control of the company will revert to 'B' members if and when there are no investor 'A' members.
? 'B' members are crucial to the future success of the club. Please join the President's Club if you can by contacting any club official (eg Rob Northfield, James Hamilton, Paul Marshall, Kevin Derry, Howard Clarke or Kevin Axtell).
A company limited by guarantee, under British and Irish company law, is a type of corporation that is used mainly for non-profit organisations that require a legal personality.
